Company registration in Poland

You can register a company in Poland by yourself, but several conditions must be met. Below are some key points regarding this type of registration.

Company registration in Poland is possible online, by concluding the articles of incorporation electronically, or through a notary, by concluding the articles of incorporation on paper. In the first case, an electronic signature or a trusted profile of the founders is required; in the second case, a visit to the notary in person or by proxy is required.

Company registration occurs in the National Court Register (Krajowy Rejestrz Sądowy (KRS)). Some organizational forms, such as housing societies, foundations, and associations (wspólnoty mieszkaniowe, fundacje i stowarzyszenia), are not required to be registered in this register.

To register a company in the S24 information system, an application must be completed. This application specifies the company's information, name, legal form, names of shareholders (founders), address, activities, authorized capital amount, and other details.

The minimum authorized capital is 5,000.00 PLN, which can be contributed in cash or in kind.

A shareholder's (founder's) contribution to the authorized capital is subject to a civil transaction tax (podatek od czynności cywilnoprawnych, PCC) of 0.5%.

The state fee for registering a limited liability company is 350.00 PLN.
